Emerging Growth Company Status: CFO Relief Choices
For an IPO CFO, emerging growth company status creates several reporting choices and one election that's hard to reverse. This guide helps domestic operating-company teams decide which relief to use, document the accounting transition election, and prepare for an earlier-than-expected exit.
Key takeaway: Confirm eligibility first. Then decide each accommodation on its merits and build an exit plan around the earliest trigger, not the longest possible runway.
Does our company qualify for emerging growth company status?
Eligibility follows legal tests, not the company's preference. The current annual gross revenue ceiling is less than $1.235 billion in the most recently completed fiscal year. The first sale of common equity under an effective registration statement must not have occurred on or before December 8, 2011, and the company must remain within the applicable disqualification limits. SEC EGC overview.
Keep the first-sale evidence with the status memo. The S-1 filing date and effectiveness date aren't substitutes for the actual sale date.
Track four exit triggers separately:
| Trigger | When EGC status ends | Evidence to monitor |
|---|---|---|
| Annual gross revenues reach $1.235 billion | Last day of that fiscal year | Completed-year revenue and forecast |
| Fifth anniversary of the first registered common-equity sale | Fiscal year-end following the fifth anniversary | Verified first-sale date |
| More than $1 billion of non-convertible debt issued in the previous three years | Date the rolling issuance total exceeds the limit | Security-by-security issuance ledger |
| Company becomes a large accelerated filer | Filer-status determination at fiscal year-end | Second-quarter public float and other entry conditions |
The governing timing is in Exchange Act Rule 12b-2. A high IPO valuation alone doesn't establish large accelerated filer status: entry also requires at least $700 million of non-affiliate common-equity float at the second-quarter measurement date, 12 months of reporting, an annual report, and failure to qualify under the applicable SRC revenue test. SEC filer-status guide.
Debt measurement concerns non-convertible securities that constitute indebtedness, including unregistered securities. Repaid issuances still count; staff allows qualifying A/B exchanges to avoid double counting. Have counsel classify the instruments before treasury treats every borrowing as a qualifying security. JOBS Act FAQs 17 and 18.
Which EGC exemptions should a CFO actually use?
Choose relief based on the work it changes and the information investors need. EGCs can use some scaled provisions while following fuller requirements elsewhere. Accounting transition has a separate consistency rule, so don't treat delayed adoption as a standard-by-standard menu. JOBS Act Section 107.
Use this matrix as the agenda for a finance, counsel, auditor and underwriter discussion:
| Decision | Evidence to assemble | Reason to use available relief | Reason to exceed the minimum | Decision owner and output |
|---|---|---|---|---|
| Two audited years or a voluntary third IPO year | Existing audit coverage, trends, underwriter requests | Avoid additional historical audit work where unnecessary | Explain a significant trend or meet investor needs | Controller: audit-period memo |
| Retain extended accounting transition | Applicable standards, effective dates, transition methods, expected exit | Sequence implementation work around available capacity | Improve peer comparability or avoid compressed adoption work | Technical accounting: election memo |
| Use scaled compensation disclosures | Officer population, grants, committee expectations | Use the permitted disclosure scope | Explain complex arrangements more fully | Counsel and HR: disclosure checklist |
| Use the 404(b) exemption while preparing controls | Management assessment timetable, gaps, possible exit dates | Avoid mandated attestation while exempt | Build evidence before attestation becomes required | CFO and auditor: readiness plan |
Don't attach a generic savings number to a row. Obtain company-specific audit estimates, implementation plans and investor feedback, then record why the chosen approach serves this offering.
The memo should identify the relief used, the fuller disclosure retained voluntarily, the decision date and the person responsible for reassessing it. A choice that's sensible at submission can become less useful after an acquisition or financing changes the exit forecast.
Should we retain the extended accounting transition period?
Retaining extended transition preserves later effective dates where available; opting out is irrevocable. Communicate the election at the first required filing, and identify it in the initial confidential submission as staff expects. A company that initially retains transition can later opt out, but cannot then reverse that opt-out. JOBS Act FAQ 13.
There are three distinct points to document:
- Overall election: You can't choose the non-EGC adoption timetable for selected standards while keeping delayed dates for others as a general policy. JOBS Act Section 107.
- Permitted early adoption: Early-adopting a particular standard when that standard allows it doesn't abandon extended transition for future standards. FRM 10230.1(e).
- Accounting scope: Later effective dates don't make an EGC a private company for accounting purposes or confer private-company accounting alternatives. Evaluate each standard's public-entity scope separately. JOBS Act FAQs 35 and 36.
Build an adoption register with one row per applicable Accounting Standards Update. Include the non-EGC date, retained-transition date, permitted early adoption, transition method, comparative-period data needed, implementation owner and earliest plausible exit date.
Then ask a concrete question: if the company lost EGC status before the delayed date, could the team produce the required accounting and disclosures for its next filing? A later deadline is useful only if the underlying implementation plan survives that test.
What did Reddit and Figma disclose about their elections?
The filings show that EGC issuers can make different accounting choices. They establish the elections and disclosed comparability implications, not the issuers' motives or financial savings. Treat these as dated reporting examples rather than statements about either company's current status.
| Issuer and document | What it disclosed | Lesson for the election memo |
|---|---|---|
| Reddit S-1, February 22, 2024 | EGC checked, SRC unchecked. It used extended transition through December 31, 2022, then irrevocably opted out beginning January 1, 2023. | Forgoing delayed adoption doesn't itself end EGC status. |
| Figma June 30, 2025 Form 10-Q, signed September 3, 2025 | EGC and non-accelerated filer checked, SRC unchecked. It retained transition until EGC exit or affirmative irrevocable opt-out and disclosed potential financial-statement comparability limitations. | Retaining transition requires an explicit election and clear disclosure. |
Peer filings help the team examine wording and reporting consequences. They don't answer whether your systems, transaction mix or planned financing make the same choice sensible.
How do EGC, SRC and accelerated filer status differ?
These are overlapping classifications with different jobs. EGC status determines specific emerging-company accommodations. Smaller reporting company status determines scaled disclosure eligibility. Accelerated filer status determines filing deadlines and helps determine auditor attestation obligations. Record three separate conclusions rather than one label saying the company is small.
Initial SRC eligibility generally requires public float below $250 million, or annual revenue below $100 million with no public float or float below $700 million. Re-entry tests use lower thresholds, so don't reuse initial-entry tests after losing SRC status. SEC SRC guide.
Illustrative example: A company that's no longer an EGC has $200 million of public float and $150 million of annual revenue. Assuming the reporting-history and other entry conditions are met, it can qualify as both an SRC and an accelerated filer; SRC scaling doesn't itself remove 404(b) attestation. The SEC's 2020 guide expressly identifies this overlapping category. SEC filer-status guide.
What financial, controls and compensation relief remains?
Map each requirement separately. EGC status doesn't establish a universal two-year financial-statement rule, eliminate management's controls assessment, or remove executive compensation disclosure. Filing type, SRC eligibility and newly public company provisions affect the answer.
For financial history, the EGC two-audited-year accommodation applies to an initial common-equity IPO registration statement. A non-SRC EGC generally needs three audited years in its annual report, subject to staff's first-annual-report accommodation; SRC financial statements have their own two-year framework. FRM Topic 10, FRM Topic 1.
Set the periods in a filing-specific memo, including interims and acquired-business information. Use the financial-statement requirements walkthrough for the broader period-planning discussion.
For controls, EGCs are exempt from the auditor's 404(b) attestation, not management's 404(a) assessment. Newly public issuer transition provisions still need a separate timetable. FRM 10240.
After EGC exit, a non-accelerated filer can remain exempt from SEC 404(b) attestation. The 2020 amendments exclude qualifying SRCs with revenue below $100 million from accelerated-filer status while preserving management's controls obligations. SEC adopted amendments.
For compensation, EGCs can use SRC Item 402 disclosure, including omission of Compensation Discussion and Analysis. The usual scaled named-executive population includes the principal executive officer plus two highest-paid other serving executives; former officers or multiple principal executive officers can expand it. The SEC's May 1, 2014 HealthEquity comment letter illustrates why counting two officers total is wrong. JOBS Act FAQ 15.
EGCs are excluded from pay-versus-performance requirements; SRCs receive scaling rather than a universal exclusion. SEC pay-versus-performance guide. Have counsel separately map say-on-pay, frequency, golden-parachute votes and pay-ratio requirements instead of treating compensation relief as one checkbox.
How should we prepare for EGC exit?
Plan around the earliest credible trigger and assign the resulting requirements individually. In an illustrative calendar-year IPO with a first registered common-equity sale in October 2026, the anniversary-based outer exit date is December 31, 2031, assuming no earlier trigger. A March 2028 issuance that takes qualifying rolling three-year debt above $1 billion instead causes exit on that issuance date. Rule 12b-2.
If a deferred standard was already effective for non-EGCs, staff generally expects adoption in the next filing after exit, with alternatives depending on the facts. Don't budget a generic extra year. FRM 10230.1(f).
Maintain an exit handover with four outputs:
- An updated status memo covering EGC, SRC and accelerated status.
- An adoption plan identifying overdue standards and required transition data.
- A filing and compensation checklist showing which scaling survives.
- A controls timetable covering management assessment and any required attestation.
As of October 12, 2026, the SEC's May 19 reform remains a proposal, not the operating baseline. Its fact sheet describes a $2 billion large accelerated filer threshold and 60 months of reporting seasoning; the docket provides no adopted effective date. Monitor it for scenario planning without replacing current requirements. Proposal docket, SEC fact sheet.
Frequently asked questions
Can we regain EGC status after revenues fall?
No, if the company lost status under a disqualification after making its first registered common-equity sale as an EGC. JOBS Act FAQ 32.
Can we early-adopt one standard and retain transition?
Yes, when the standard permits early adoption. That isn't the same as changing the overall election. FRM 10230.1(e).
Does EGC exit automatically require auditor attestation?
No. Determine whether non-accelerated status or another applicable exemption remains before assigning an attestation deadline. SEC adopted amendments.
Is delayed accounting adoption always the better choice?
No universal ranking follows from eligibility. Compare the implementation work under both dates, the usefulness of peer comparisons and the earliest credible exit, then document the company's decision before the filing timetable makes it for you.
